RoboHearts Cloud — Terms of Service and Conditions of Sale

These Terms of Service and Conditions of Sale (the "Terms") govern subscriptions to RoboHearts Cloud, RoboHearts ASR and RoboHearts AI (together, the "Services") and the related RoboHearts software supplied for use on compatible robots.
By purchasing a subscription or using the Services, the customer agrees to these Terms.
The Services are intended solely for business, commercial, corporate, academic, research, or institutional use, and not for personal, family, or household use. By registering for, purchasing, or using the Services, the customer represents and warrants that it is acting in a professional capacity, whether on behalf of an organization or in connection with its own professional activity, and not as a consumer.

2. Scope of the Services
RoboHearts provides hosted software and robot-management services for compatible robots.
The current commercial offers, each licensed per robot, are:

Each higher tier includes the preceding tiers.
The description, price, billing period and features shown on the RoboHearts website and at checkout at the time of purchase form part of the offer. If there is a conflict concerning the price charged for a purchase, the amount clearly shown to the customer before confirming payment controls.
The Services do not include the sale, rental, physical maintenance or repair of the robot unless separately agreed in writing.
3. Compatibility
The commercial Services are intended for the robot models and software versions identified by RoboHearts as supported.
RoboHearts may publish compatibility requirements and supported package versions from time to time.
RoboHearts ASR is designed to operate as a drop-in replacement for applications using the robot's original cloud speech-recognition interface. Because third-party applications vary, RoboHearts does not guarantee compatibility with every application, configuration or combination of third-party software.
The customer is responsible for the operation, configuration and maintenance of its robot, network, third-party applications and other systems not supplied by RoboHearts.
4. Accounts and per-robot subscriptions
A subscription is associated with a RoboHearts account and grants a license for one robot unless the offer expressly states otherwise.
A customer may manage multiple robots from one account, but each robot requires its own subscription and may use a different subscription tier.
A purchased license may initially remain unassigned. Once assigned to a robot or customer organization, reassignment may require RoboHearts support.
RoboHearts may suspend a license for administrative review when ownership or organizational assignment of a robot changes.
The customer must provide accurate account information and take reasonable measures to protect account credentials and API keys.
5. Subscription term, renewal and cancellation
Subscriptions are offered for the billing period shown at checkout, normally monthly or yearly.
Subscriptions renew automatically for successive periods of the same duration unless cancelled before renewal.
Customers may cancel through the subscription-management functionality made available by RoboHearts or its payment provider. Unless otherwise stated at checkout, cancellation takes effect at the end of the current paid billing period. Access therefore normally continues until that date.
Cancellation does not normally result in a refund for an already-paid billing period, except where required by applicable law or expressly agreed by RoboHearts.
RoboHearts may terminate or suspend a subscription for material breach of these Terms, fraud, unlawful use, security risk, or non-payment.
6. Prices, taxes and payment
Subscription prices are those published on the RoboHearts website and shown at checkout. They are stated in euros excluding applicable taxes, which are calculated and added where due.
The total amount payable, including any applicable taxes, currency and billing period are shown before payment is confirmed.
Payments are processed by a third-party payment provider identified at checkout.
RoboHearts may change its prices at any time. A price change applies to an existing subscription only from its next renewal, and only after at least 30 days' notice by email (see Section 17). It never affects a billing period that has already been paid.
Paid access is activated after successful payment confirmation. If a renewal payment fails, RoboHearts may suspend access until payment is successfully completed.
For professional customers, any amount invoiced outside the immediate online-payment flow and not paid when due may give rise, without prior reminder, to late-payment penalties at the rate required or permitted by Article L.441-10 of the French Commercial Code, as well as the statutory fixed recovery indemnity of €40, without prejudice to any additional recovery costs recoverable under applicable law.
Unless expressly stated otherwise, no discount is granted for early payment.
7. Software license
During an active subscription, RoboHearts grants the customer a limited, non-exclusive, non-transferable right to use the RoboHearts software made available under the subscription for the customer's licensed robot and authorized users.
Except where permitted by mandatory law, the customer may not:
- sell, sublicense, rent or commercially redistribute RoboHearts software;
- circumvent subscription, license or access controls;
- reverse engineer or modify RoboHearts proprietary software except to the extent expressly permitted by law;
- use the software or Services to infringe third-party rights or applicable law.
All intellectual-property rights in RoboHearts software, Services, documentation and branding remain with RoboHearts or its licensors.
Open-source and third-party components remain subject to their respective licenses. Some packages made available through the Services' package-management tools originate from third parties and are not part of RoboHearts' commercial offer. Such packages are provided on an as-is basis, without warranty or commitment from RoboHearts, and remain subject to the rights of their respective owners.
When a subscription ends, the license granted under this Section 7 ends for the corresponding robot, and access to subscription-controlled cloud functions, downloads and features ceases. Software packages already installed on the robot may remain physically present on it, but the customer's right to use RoboHearts software under these Terms ends when the subscription ends.
8. Updates and changes to the Services
RoboHearts may update, replace, add or remove software versions, packages, models, providers, interfaces and other technical components where reasonably necessary to operate, secure, maintain or develop the Services.
A newly published package version does not necessarily replace a version already selected or installed by a customer.
RoboHearts may discontinue support for obsolete robot software, third-party dependencies or Service features. Where a change materially reduces a paid Service, RoboHearts will provide reasonable notice where practicable.
9. AI and third-party providers
RoboHearts AI may include a limited allowance of RoboHearts-provided AI usage. The applicable allowance may be specified on the pricing page, account interface or other commercial documentation.
Use beyond the included allowance, or use of certain models or providers, may require the customer to supply its own compatible provider API key.
Third-party AI, infrastructure, robot software and other external services are governed by their own terms and may change independently of RoboHearts. RoboHearts is not responsible for failures or changes caused by third-party services outside its reasonable control.
The customer is responsible for charges incurred directly with third-party providers through customer-supplied accounts or API keys.
10. Customer content
The customer retains its rights in content it submits to the Services, including character instructions, prompts, scripts, images, audio and other customer-created materials ("Customer Content").
The customer grants RoboHearts the rights reasonably necessary to host, process, reproduce and transmit Customer Content for the purpose of providing the Services.
The customer represents that it has the rights and permissions necessary to submit and use Customer Content and is responsible for its content and sharing choices.
The customer may download an export of available organization content while it has account access. Export requests and related questions may be sent to [email protected].
After termination or expiry of a subscription, RoboHearts may retain Customer Content for up to 90 days to allow recovery or export, after which it may be deleted. RoboHearts may retain records for longer where reasonably necessary to comply with legal obligations, maintain accounting records, protect security, or establish, exercise or defend legal claims.
Personal-data handling is addressed separately in RoboHearts' Privacy Policy and, where applicable, data-processing documentation.
11. Acceptable use and customer responsibilities
The customer must use the Services lawfully and in accordance with the documentation and reasonable technical instructions provided by RoboHearts.
The customer is responsible for:
- the physical operation and supervision of its robots;
- the suitability and safety of the environment in which robots operate;
- third-party applications and modifications installed on its robots;
- its network and internet connection;
- instructions, content and credentials supplied to the Services;
- informing end users, where relevant, that they are interacting with an AI-driven system rather than a human;
- ensuring that authorized users comply with these Terms.
RoboHearts is not responsible for damage caused by customer modifications, unsupported software, third-party applications, misuse of a robot, or use outside published compatibility requirements, except to the extent required by applicable law.
12. Availability and support
RoboHearts provides the Services and support on a commercially reasonable, best-effort basis.
Unless a separate written service-level agreement expressly provides otherwise, RoboHearts does not guarantee a particular uptime percentage, response time, restoration time or uninterrupted availability.
Maintenance, security work, third-party outages, internet failures and events outside RoboHearts' reasonable control may temporarily affect the Services.

13. Suspension
RoboHearts may reasonably suspend all or part of the Services where necessary because of:
- non-payment;
- a material breach of these Terms;
- suspected fraud, unauthorized access or security risk;
- unlawful or abusive use;
- a threat to the Services, a robot, another customer or a third party;
- a requirement imposed by law or a competent authority.
Where reasonably practicable, RoboHearts will inform the customer of the reason for suspension and the steps required to restore access.
14. Warranties
RoboHearts will provide the Services with reasonable care and skill.
Except for mandatory warranties and rights that cannot legally be excluded, RoboHearts does not warrant that the Services will be uninterrupted, error-free, compatible with every third-party application, or suitable for every intended customer use.
AI-generated output may be incomplete, inaccurate or unpredictable. The customer remains responsible for deciding how such output is used, including where it influences the behavior of a physical robot.
15. Liability — professional customers
This section applies to customers acting for professional purposes.
To the fullest extent permitted by applicable law, RoboHearts is not liable for indirect or consequential losses, including loss of profit, revenue, business opportunity or anticipated savings.
Subject to liabilities that cannot legally be limited or excluded, RoboHearts' aggregate liability arising from the affected Service is limited to the total fees paid by the customer for that Service during the 12 months preceding the event giving rise to the claim.
This limitation does not apply to liability for gross negligence (faute lourde), wilful misconduct (dol), death or personal injury, or breach of an obligation essential to these Terms, to the extent such liability cannot legally be limited under applicable law.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
16. Force majeure
Neither party is liable for failure or delay caused by an event beyond its reasonable control where the conditions for force majeure under applicable law are met.
17. Changes to these Terms
RoboHearts may update these Terms to reflect changes in the Services, law, security requirements or business operations.
RoboHearts will provide at least 30 days' notice by email before a material change affecting an existing paid subscription takes effect. If the customer does not accept the change, the customer may cancel the affected subscription before the change takes effect, without penalty. Changes do not retroactively alter amounts already paid for a completed billing period.
If mandatory law gives the customer a right to terminate because of a change, that right is unaffected.
18. Governing law and disputes
These Terms are governed by French law.
Subject to any mandatory rule to the contrary, disputes that cannot be resolved amicably are subject to the exclusive jurisdiction of the Tribunal de commerce de Nanterre.
